Please take time to read these terms and conditions ("Terms") carefully. They govern your use of the Knowledge Bank and contain important information about your rights and obligations in connection with your use of the Knowledge Quarter website.

All references to "we", "our" or "us" in these Terms refer to KNOWLEDGE QUARTER LONDON LIMITED registered company number of 10374838 whose registered office is at 96 Euston Road, London, NW1 2DB.

All references to "you", "your(s)", "User" in these Terms refer to the party entering into and accepting these Terms in respect of use of the Knowledge Bank, whether the party is using the Knowledge Bank as a pilot user or subsequent registered user.

Together these Terms, any documents referred to herein, and any web page-specific terms and conditions that may be shown on our website from time to time, form the entire agreement between you and us (“Agreement”). If you do not agree to be legally bound by this Agreement please leave the Knowledge Bank immediately. Your continued access and use of the Knowledge Bank will amount to acceptance of these Terms. We recommend that you print a copy of these Terms for future reference.

We reserve the right to change the Agreement at any time and will post a highlight if changes are made. You should review these Terms of use on a regular basis to ensure that you are aware of any changes made as you will be legally bound by any amended terms if you continue to use the Knowledge Bank after the changes.

We will try to give you reasonable notice of any suspension or withdrawal.

You are also responsible for ensuring that all persons who access the Knowledge Bank through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

The Knowledge Bank is only for users in the UK

The Knowledge Bank is directed to people residing in the United Kingdom. We do not represent that content available on or through the Knowledge Bank is appropriate for use or available in other locations.

You must keep your account details safe

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us.

How you may use material on the Knowledge Bank

We are the owner or the licensee of all intellectual property rights in the Knowledge Bank, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off one copy, and may download extracts, of any page(s) from the Knowledge Bank for your personal use and you may draw the attention of others within your organisation to content posted on the Knowledge Bank.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of content on the Knowledge Bank must always be acknowledged.

You must not use any part of the content on the Knowledge Bank for commercial purposes without obtaining a licence to do so from us or our licensors.

If you print off, copy or download any part of the Knowledge Bank in breach of these terms of use, your right to use the Knowledge Bank will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Please note that any breach of these terms may have an impact on your organisation’s membership within the Knowledge Quarter.

Do not rely on information on the Knowledge Bank

The content on the Knowledge Bank is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Knowledge Bank.

Although we make reasonable efforts to update the information on the Knowledge Bank, we make no representations, warranties or guarantees, whether express or implied, that the content on the Knowledge Bank is accurate, complete or up-to-date.

We are not responsible for websites we link to

Where the Knowledge Bank contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources.

User-generated content is not approved by us

This website may include information and materials uploaded by other users of the site, including to bulletin boards and chat rooms. This information and these materials have not been verified or approved by us. The views expressed by other users on the Knowledge Bank do not represent our views or values.

Uploading content to the Knowledge Bank

Whenever you make use of a feature that allows you to upload content to the Knowledge Bank, or to make contact with other users of the Knowledge Bank, you must comply with our acceptable use standards as set out herein (the “Acceptable Use Standards”):

Where we do provide any interactive service, we will provide clear information to you about the kind of service offered, if it is moderated and what form of moderation is used (including whether it is human or technical).

We will do our best to assess any possible risks for users (and in particular, for children) from third parties when they use any interactive service provided on the Knowledge Bank, and we will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks. However, we are under no obligation to oversee, monitor or moderate any interactive service we provide on the Knowledge Bank, and we expressly exclude our liability for any loss or damage arising from the use of any interactive service by a user in contravention of our Acceptable Use Standards, whether the service is moderated or not.

The use of any of our interactive services by a minor is subject to the consent of their parent or guardian. We advise parents who permit their children to use an interactive service that it is important that they communicate with their children about their safety online, as moderation is not fool proof. Minors who are using any interactive service should be made aware of the potential risks to them.

We exclude liability for actions taken in response to breaches of these Acceptable Use Standards. The responses described in this Agreement are not limited, and we may take any other action we reasonably deem appropriate.

You warrant that any such contribution does comply with these Acceptable Use Standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Knowledge Bank constitutes a violation of their intellectual property rights, or of their right to privacy.

We have the right to remove any posting you make on the Knowledge Bank if, in our opinion, your post does not comply with the Acceptable Use Standards.

You are solely responsible for securing and backing up your content.

Any content you upload to the Knowledge Bank will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of the Knowledge Bank a limited licence to use, store and copy that content and to distribute and make it available to third parties. The rights you license to us are described in the next paragraph.

Rights you are giving us to use material you upload

When you upload or post content to the Knowledge Bank, you grant us the following rights to use that content:

We are not responsible for viruses and you must not introduce them

We do not guarantee that the Knowledge Bank will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform in order to access the Knowledge Bank. You should use your own virus protection software.

You must not misuse the Knowledge Bank by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Knowledge Bank, the server on which the Knowledge Bank is stored or any server, computer or database connected to the Knowledge Bank. You must not attack the Knowledge Bank via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Knowledge Bank will cease immediately.

Rules about linking to the Knowledge Bank

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to the Knowledge Bank in any website that is not owned by you.

The Knowledge Bank must not be framed on any other site, nor may you create a link to any part of the Knowledge Bank other than the home page.

We reserve the right to withdraw linking permission without notice.

The website in which you are linking must comply in all respects with the Acceptable Use Standards.

Privacy

We take the privacy of our website users very seriously. We ask that you read this privacy policy carefully as it contains important information about how we will use your personal data.

For the purposes of the Data Protection Act 1998, we are the “data controller” (ie the company who is responsible for, and controls the processing of, your personal data).

We will obtain personal data about you (such as your name, address) whenever you complete an online form.

For example, we will obtain your personal data when you register to use the Knowledge Bank, send us feedback, post material, contact us for any reason. We may also obtain sensitive personal data about you if you volunteer it during the completion of an online form. If you volunteer such information, you will be consenting to our processing it for the purpose of knowledge sharing and promotion of the Knowledge Quarter and Knowledge Bank.
